Terms of Agreement

        I. Fellowship Term

A. The Fellowship Term is 6 months beginning October 2023 and ending May 2024. A FELLOW may begin pre-work and continue post-work with GROUNDSWELL before October 2023 or after May 2024, but this will not extend the Fellowship Term. A FELLOW may begin later than October 2023 only in extenuating circumstances and with the prior written approval of GROUNDSWELL. All program sessions are facilitated in English. Written and spoken English proficiency is required for participation in all program sessions.

      II.  Obligations of FELLOW

A.  Each month, FELLOWS are expected to commit 5 hours:

  • 1-on-1 Coaching Sessions (Monthly) - 1 hour each month

  • Soul Work Collective Virtual Meetings (Monthly) - 2 hours each month

  • Preparing for Sessions0 2 hours each month

B.  FELLOW understands that their participation in coaching, soul work, retreat, and cohort meetings throughout the course of the FELLOWSHIP is mandatory.

C.  GROUNDSWELL may use FELLOW’s work product in the construction of collateral, including but not limited to: Annual Reports, a Fellowship Overview or Summary, Fellowship Updates, or PowerPoint presentations for illustrative purposes and training, and in marketing or promotion of the FELLOWSHIP in meetings, presentations, and media. GROUNDSWELL will not share any proprietary of privileged information or data from the FELLOW and their AFFILIATED ORGANIZATION.

D.  On the expiration or termination of this agreement, or on the disclosing party's request, GROUNDSWELL shall destroy all confidential, proprietary, and/or privileged information.

    III.  COVID-19 Precautions

A.  GROUNDSWELL may require from participants in any in-person (face-to-face) program:

a.  Proof of CDC-approved COVID-19 vaccination,

b.  A recent negative COVID-19 test,

c.  Mask or other face-covering for indoor activities,

d.  Social distancing and limited seating capacity for indoor activities, and/or

e.  The taking of other steps reasonably designed to stop the spread of SARS-CoV-2.

B.  GROUNDSWELL reserves the right to dis-invite, limit participation from, and/or expel from any in-person program any participant that refuses or is otherwise unable to comply with the foregoing without refund.

    IV.  Release from FELLOWSHIP for Just Cause

A.  GROUNDSWELL will release FELLOW from the FELLOWSHIP before the expiration of the Term without reimbursement of payment for any of the following three reasons (hereafter, “Just Cause”):

a.  For enumerated causes, as explained in paragraph (B) of this section;

b.  For compelling personal circumstances, as explained in paragraph (C) of this section; or

c.  For unresolvable conflicts as explained in paragraph(D) of this section.

B.  GROUNDSWELL may release FELLOW for cause from the FELLOWSHIP prior to the end of the FELLLOWSHIP Term for any of the following reasons:

a.  For lack of satisfactory performance by FELLOW of the obligations described in this AGREEMENT;

b.  For not abiding by the collectively created and agreed upon community norms (to be co-created with cohort at the beginning of the FELLOWSHIP);

c.  Material misrepresentation in the FELLOW’s application; or

d.  For any other act by FELLOW, at the sole and exclusive determination of GROUNDSWELL, would undermine the FELLOWSHIP, other FELLOWs and/or harm the reputation of GROUNDSWELL.

C. GROUNDSWELL may release FELLOW from the FELLOWSHIP prior to the end of the FELLOWSHIP Term for compelling personal circumstances if FELLOW demonstrates to GROUNDSWELL that:

a.  There is a serious injury, illness, or death of a family member, spouse, or domestic partner that makes completing the Term unreasonably difficult or impossible for FELLOW;

b.  FELLOW has a disability or serious illness that makes completing the Term unreasonably difficult or impossible; or

c.  Some other unforeseeable circumstance beyond FELLOW’s control makes it unreasonably difficult or impossible for FELLOW to complete the FELLOWSHIP Term, such as natural disaster, strike, separation from employer or unexpected closing of the FELLOWSHIP of FELLOW’S AFFILIATED ORGANIZATION

D.  GROUNDSWELL may release FELLOW from the FELLOWSHIP for unresolvable conflicts if FELLOW demonstrates to GROUNDSWELL that:

a.  There are conflicts and/or issues between FELLOW and other FELLOWs and/or GROUNDSWELL Employees that the parties have, in good faith, attempted but are unable to resolve; or that GROUNDSWELL, at its sole discretion, has deemed unresolvable without attempted resolution by FELLOW; and

b.  Such conflicts and/or issues prevent FELLOW from completing the Term.

E.  Force Majeure. Neither party shall be liable and GROUNDSWELL will not provide a refund for delays or any failure to perform due to causes beyond its control, including but not limited to acts of God, storm, fire, flood, earthquake, damage or destruction to facilities, health and/or public safety hazards, disease (including but not limited to any declared or undeclared quarantine, outbreak, epidemic or pandemic), travel or other restrictions (or restrictions based on GROUNDSWELL protocol, directive or policy), labor disturbance, war, civil commotion, shortage or unavailability of labor, governmental law, ordinance, order or regulation, or for any other cause pursuant to GROUNDSWELL policy.  The party invoking this Force Majeure provision may cancel this AGREEMENT by providing written notice (or other reasonable method under the circumstances) to the other party as soon as reasonably practicable.

a.  The parties further acknowledge that at the time of entering into this engagement, a Force Majeure Event is in effect, namely COVID-19, which could prevent GROUNDSWELL from meeting its obligations for the in-person November 6 - Nov 10, 2023 Retreat. At this time, the parties cannot reasonably anticipate COVID-19 restrictions by the November retreat dates indicated above. If GROUNDSWELL determines in its reasonable discretion that it is inadvisable to hold this event due to COVID-19 related issues, GROUNDSWELL may invoke this Force Majeure provision so long as notice is provided as described above.

 V. Cancellation

A.  While the organizers make every effort to conduct the programs as listed, GROUNDSWELL reserves the right to postpone or cancel a program at any time should it not realize the minimum number of confirmed participants, or in case of any other unforeseen event. In the event of a cancellation or postponement, the organizers' liability is limited to a full refund of the program fee already paid. Alternatively, payment may be applied towards another calendar program. GROUNDSWELL will not be responsible for travel or related costs under any circumstances. FELLOW may consider purchasing trip cancellation insurance in the unlikely event that the November retreat is cancelled or if the applicant cannot attend for personal or professional reasons. Cancellation by FELLOW before the commencement of the program or “no shows” will not be refunded.

VI.  Insurance Coverage

A.      GROUNDSWELL requires that all FELLOWs maintain insurance for medical care, illness, and injury. GROUNDSWELL is not responsible for medical expenses incurred while attending a program. Please make sure that any private insurance provides valid coverage in the United States.

VII. Consent for Use and Publication of Information

A. By signing this document, FELLOW consents to GROUNDSWELL using photos, video, statements, or photographic likenesses of FELLOW for the purposes of advertising and promoting. This information may be used or published through any medium, including the Internet.

VIII. Intellectual Property

A.  All intellectual property rights in the materials distributed by GROUNDSWELL in connection with this program are expressly reserved, and any unauthorized duplication, publication or distribution is prohibited.
